Mr. Spatz practices primarily in the areas of corporate and securities laws. He has represented corporations and other entities in a wide variety of industries and busi­nesses, including high technology, computer, medical, entertainment, financial institutions, mortgage banking and consumer products. He has represented these entities from inception (including the choice of entity) through initial and start-up financing, venture capital, bank and/or secondary financings, initial and secondary public offerings, listing on the Nasdaq Stock Market or stock exchanges and the sale of the entity. In addition to these areas, he advises corporations and other entities on mergers and acquisitions, market­ing, distribution and sales agreements, licensing, corporate partnering, recapitalizations, executive compen­sa­tion, and ongoing corporate and securities issues.

Mr. Spatz has also represented insured depositary institutions and mortgage bankers in a variety of transactions, including financings, charter conversions, secured and unsecured lending, loan and loan servicing purchases and sales, federal and state regulatory issues, regulatory orders (supervisory agreements, MOUs, prompt corrective action directives and consent agreements) and deposit account issues.

He is a former member of the Financial Institutions Subcommittee of the State Bar of California.
